NEW YORK–(BUSINESS WIRE)–New Fortress Energy Inc. (Nasdaq: NFE) (“NFE” or the “Company”) today announced its receipt of an expected notice (the “Notice”) from the Listing Qualifications Department of the Nasdaq Stock Market (“Nasdaq”) stating that the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1) (the “Rule”) because the Company has not yet filed its Form 10-Q for the period ended March 31, 2025 (“Form 10-Q”) with the U.S. Securities and Exchange Commission (the “SEC”). The Rule requires listed companies to timely file all required periodic financial reports with the SEC. The Company is continuing to work diligently to finalize and file its Form 10-Q as soon as possible. The Company expects that its Form 10-Q will be consistent with the financial statements for the quarter ended March 31, 2025 that were publicly released on May 14, 2025.
The Notice states that the Company has 60 calendar days from the date of the Notice to submit a plan to regain compliance with the Rule and the Company expects to file the 10-Q well before the plan is due to Nasdaq. If Nasdaq accepts the Company’s plan to regain compliance, Nasdaq may grant the Company up to 180 calendar days from the prescribed due date of the Form 10-Q, or until November 11, 2025, to file the Form 10-Q to regain compliance.
The Notice has no immediate impact on the listing or trading of the Company’s securities on the Nasdaq Stock Market. If the Company fails to timely regain compliance with Nasdaq’s listing rules, the Company’s Class A common stock will be subject to delisting from Nasdaq.
