AngloGold Ashanti has announced changes to its board that will take effect after its annual general meeting (AGM) is held on May 28.
Maria Ramos
AngloGold Ashanti chair of the board of directors and independent non-executive director Maria Ramos will not stand for re-election at the company’s AGM.
Ramos has served as a non-executive director since June 2019 and chair of the board of directors since December 2020.
“We are grateful for Maria’s enormous contribution to AngloGold Ashanti during her tenure as chairman,” AngloGold Ashanti chief executive officer Alberto Calderon said.
“She has exemplified the highest levels of ethics, governance and strategic guidance, while being a great support to me in my role. We wish her the very best and every success in her new endeavours.”
AngloGold Ashanti lead independent director Rhidwaan Gasant echoed similar sentiments.
“On behalf of the board I thank Maria for her impactful and principled leadership,” Gasant said.
“During her tenure AngloGold Ashanti has made tremendous strides in advancing its strategy and delivering on its objectives, through a new talented and effective leadership team.”
Jochen Tilk
Following Ramos’ retirement, the company board of directors voted unanimously to appoint Jochen Tilk as chair of the board of directors, which is subject to his re-election at the AGM.
Tilk has been an independent non-executive director of AngloGold Ashanti since January 2019 and currently serves as chair of the board’s investment committee.
“We are privileged to have someone of Jochen’s experience and track record, with strong institutional and industry knowledge, to lead the board and represent the interests of shareholders and other stakeholders,” Gasant said.
Maria Richter
Like Ramos, AngloGold Ashanti non-executive director Maria Richter has elected not to stand for re-election at the AGM.
Richter has been a non-executive director at the company since January 2015.
“On behalf of the board of directors, our heartfelt thanks go to Maria for her tremendous contribution at the board level over the past nine years, and in ensuring that our compensation practises are aligned with good practice and emerging industry and governance trends,” Ramos said.
Albert Garner has been appointed by the board to replace Richter as chair of the compensation and human resources committee, subject to his re-election at the upcoming AGM.
