Allison Transmission Holdings has entered into a definitive agreement to acquire the Off-Highway business of Dana Incorporated, a leading provider of drivetrain and propulsion solutions, for approximately $2.7 billion.
This acquisition aligns with Allison’s strategic priorities to expand its emerging markets footprint, enhance core technologies and deliver strong financial results, it says. Upon completion of the transaction, Allison will be able to offer a wider range of commercial-duty powertrain and industrial solutions to more customers and end users worldwide.

Dana’s Off-Highway business operates in over 25 countries and serves a global customer base supported by approximately 11,000 employees. Providing solutions for a wide range of applications in construction, forestry, agriculture, specialty, aftermarket, industrial and mining segments, this business is recognised for its powertrain technologies, encompassing axles, propulsion solutions and drivetrain components.
Additionally, Dana specialises in hybrid and electric drive systems tailored to customer needs and is further distinguished by its global network of manufacturing facilities and technical centers, Allison said.
At MINExpo 2024, Dana showcased solutions that it said advanced the electrification of mobile mining equipment, including:
- A low-emission series hybrid powertrain system for underground loaders that combines the high-efficiency Spicer Electrified™ eSP502 powershift transmission and an engine-mounted Dana TM4™ Sumo HP generator for added productivity;
- A zero-emission drivetrain solution for underground drill rigs incorporating a Spicer Electrified eSG101 single-speed e-Gearbox with a Dana TM4 LD HV800 motor/inverter system;
- The introduction of an integrated fan solution for alignment-free Brevini EvoMax® helical and bevel-helical gearboxes used in mining conveyor applications; and
- A Dana Brevini planetary gearbox supplying torque ranges up to 2,200 kNm for apron feeders, roller presses and other applications.
